What Local Area Artists LLC Provides. Local Area Artists LLC provides a directory of local artists from communities across the United States. Each local artist is given a graphic link to his or her own web page. The directory is divided by state, by region and by major city. Local Area Artists LLC will use its best efforts to recruit artists from all areas of the country and promote the web site in order to make the site a valuable marketing tool for all of the artists listed in its directory.

What it costs. Local Area Artists LLC charges paid artists listed in its directory the sum of five dollars ($5.00) per month for the listing. In order to reduce its costs, Local Area Artists LLC uses the Paypal Subscription Program to receive payment. In order to participate, an artist must establish a Paypal account and comply with all Paypal requirements for maintaining that account so that Local Area Artists LLC can receive its monthly payments.

Who may participate. The localareaartists.com directory is open to a wide variety of local artists and craftspeople. It is not, however, open to anyone. For example, Local Area Artists LLC will not accept listings from large scale manufacturers, wholesalers of imported goods, multi-level marketing companies or purveyors of pornographic, illegal or offensive materials. Because local area art is difficult to define, Local Area Artists LLC will review each subscription request to ensure that the listing will be appropriate for the directory. The decisions of Local Area Artists LLC on what constitutes an appropriate listing are final and Local Area Artists LLC will not provide explanations of those decisions.

How it works. After being accepted an artist must establish a Paypal account and establish a subscription to localareaartists.com allowing Local Area Artists LLC to receive from each artist the sum of five dollars ($5.00) per month through the Paypal Subscription Program. During the period of the subscription Local Area Artists LLC will maintain the web site, maintain the link to the artist, and do its best to promote the site. Either party to this agreement, may terminate the agreement upon thirty days email notice to the other. In addition, an artist may terminate this contract by terminating the subscription agreement with Paypal. In such case Local Area Artists LLC will treat an artist’s termination of the subscription through Paypal as a termination of this agreement with Local Area Artists LLC.

Intellectual Property and Trademarks. The web page located at localareaartists.com is protected under U.S. and international copyright law. No subscriber by reason of this contract receives any right title or interest in those copyrights. Subscribers warrant that any information provided to Local Area Artists LLC is accurate. They further warrant that by submitting graphics and text for publication they have not thereby violated the intellectual property laws, including copyright and trademark laws, of the United States or any foreign country. Should Local Area Artists LLC receive a claim from a third party asserting an intellectual property right in matters provided to Local Area Artists LLC by a subscriber, Local Area Artists LLC will notify the subscriber, remove the property from the web site, and tender any claim to the subscriber for defense. Subscribers further agree to indemnify Local Area Artists LLC for any loss, including the costs of defending any action, that Local Area Artists LLC may incur as a result of an intellectual property law claim brought against Local Area Artists LLC associated with graphics or text provided by subscribers.

Warranties and Refunds. The localareaartists.com web site and its contents are provided “as is” and Local Area Artists LLC makes no representations or warranties of any kind with respect to the localareaartists.com web site or its contents. In particular, Local Area Artists LLC makes no warranty that its subscribers will in fact experience any increase in sales as a result of its subscription. Local Area Artists LLC assumes no liability or responsibility for any errors or omissions in the content of the web site, any failures, delays, or interruptions in service, or any losses or damages arising from the use of the content provided on the web site. Local Area Artists LLC disclaims all representations and warranties, including, for example, warranties of merchantability, fitness for a particular purpose, and non-infringement. In addition, Local Area Artists LLC does not warrant that the information accessible on the web site is accurate, complete or current. The remedy for any breach of the terms of this agreement or breach of any other duty owed by Local Area Artists LLC to a subscriber is limited to termination of this agreement or actual damages not to exceed a sum equal to the cost of one months subscription.

Limitations on Use. You must be eighteen (18) years of age or older to subscribe to localareaartists.com. Local Area Artists LLC reserves the right to terminate a subscription without notice and for no reason whatsoever with no liability to the subscriber other than return of any unearned prepaid subscription amounts.

Choice of Law. Local Area Artists LLC is an Oregon limited liability company. Subscriber agrees that any action brought to interpret or enforce the terms of this agreement shall be brought in the courts of Multnomah County, Oregon within one year after the claim accrues. Subscribers agree that no claim under this agreement will be brought as a class action. This agreement shall be governed by Oregon law. Subscribers consent to the jurisdiction and venue of the Oregon Courts as the most convenient and appropriate for the resolution of disputes concerning this agreement

Links. Most of the hyperlinks on the localareaartists.com lead to web sites that are not controlled by, or affiliated with, Local Area Artists LLC other than by this subscription agreement. In addition, other web sites may link to the localareaartists.com web site. Local Area Artists LLC is not responsible for the content or privacy policies of these Web sites.

Notices. All notices required by this agreement will be delivered by email. Each subscriber is required to maintain one working email address for the receipt of notices from Local Area Artists LLC and keep Local Area Artists LLC advised of any changes in that address. All terminations or other notices shall be considered delivered to a subscriber when emailed to the email address on file at Local Area Artists LLC.
